Managed Services Terms

These Managed Services Terms ("Terms") govern recurring managed services provided by SheetSavvy Consulting ("SheetSavvy") to the business or individual purchasing a managed services plan ("Client"). The Client's accepted proposal, service agreement, order form, or checkout selection is incorporated into these Terms.

1. Managed services

SheetSavvy provides ongoing Smartsheet administration and support according to the Client's selected plan. Services may include troubleshooting, formulas, automations, reports, dashboards, forms, access and permission updates, solution maintenance, governance guidance, documentation, and similar ongoing Smartsheet support.

Major implementations, redesigns, migrations, integrations, premium-application configuration, or other work outside the normal managed-services scope may require additional hours, a separate estimate, or a separate agreement.

2. Selected plan and monthly billing

The Client's selected plan determines the monthly fee and included service hours. Managed services are billed monthly in advance. Invoices are due within seven days unless a proposal, agreement, or invoice states otherwise. Service and ongoing delivery capacity begin after the required initial payment is confirmed.

ACH payments are accepted at no additional charge. Credit-card payments may be subject to a processing fee when disclosed in advance and permitted by applicable requirements.

3. Included monthly hours

Included hours are available during the applicable monthly service period. Meetings, research, development, testing, documentation, and client communication related to requested work count toward included hours. Unused hours have no cash value, are nonrefundable, and do not roll over unless SheetSavvy expressly agrees otherwise in writing.

4. Additional hours and scope changes

SheetSavvy will notify the Client when requested work is expected to exceed included hours. Additional work will not be performed or billed without Client approval and will be billed separately at the rate communicated to the Client. Changes to the plan, service level, or agreed scope may require written approval and an adjustment to recurring fees.

5. Service commitments

The commitment selected during enrollment becomes part of the Client's agreement. Managed services require a minimum three-month commitment unless the accepted proposal or agreement states otherwise. A six-month commitment is billed at the standard monthly base-package rate. A twelve-month commitment receives 5% off the standard base-package fee for months two through twelve.

At the end of a fixed commitment, service continues month to month at the then-applicable rate unless the accepted proposal or agreement states otherwise or the Client cancels before the next recurring billing date.

6. Cancellation and nonpayment

Cancellation does not eliminate an existing minimum commitment. During a fixed commitment, the Client remains responsible for fees due through the end of the selected term. Amounts already billed for a service period are nonrefundable except where required by law or expressly agreed by SheetSavvy. SheetSavvy may pause services when an invoice is past due and resume after the account is brought current.

7. Client responsibilities

The Client will provide timely access to the systems, information, files, stakeholders, approvals, and other resources reasonably necessary to perform the services. Delivery may be affected when required access, information, or approvals are delayed. The Client is responsible for maintaining appropriate licenses, permissions, backups, and internal authorization for its systems and data.

8. Third-party platforms

SheetSavvy is an independent consulting business and is not affiliated with or endorsed by Smartsheet unless expressly stated. SheetSavvy does not control third-party platform availability, outages, licensing, pricing, functionality, security policies, or provider actions. Smartsheet and other third-party fees are separate from SheetSavvy service fees unless expressly included in writing.

9. Confidentiality

SheetSavvy will treat nonpublic Client information obtained during the engagement as confidential and use it only as reasonably necessary to provide services. The Client will provide only the credentials and access reasonably necessary for the requested services and will promptly remove access when it is no longer required.

10. Results and deliverables

SheetSavvy will perform services in a professional manner and collaborate with the Client on solutions appropriate to the agreed scope. SheetSavvy does not guarantee a particular financial, operational, productivity, adoption, or other business result. Unless otherwise agreed in writing, the Client owns client-specific deliverables after all related invoices are paid, while SheetSavvy retains ownership of its preexisting materials, methods, templates, tools, and general know-how.

11. Acceptance and contact

Signing an agreement, accepting a proposal, selecting a Terms checkbox, or completing checkout constitutes electronic acceptance of these Terms and the applicable plan, price, and commitment presented during enrollment.

If an accepted proposal or signed agreement conflicts with these general Terms, the accepted proposal or signed agreement controls for that Client's engagement.
